Board of Directors Meeting
Downtown Chattanooga Alliance
Wednesday, July 21, 2021
Time: 2:00-3:15 p.m.
Location: Liberty Tower, 3rd Floor Conference Room, 605 Chestnut, Chattanooga, TN, 37402
1. Call to Order
Steve Hunt, Chair of the DCA, called the meeting to order. Board members attending were Kelly Fitzgerald, Adam Kinsey, Kevin Love, Lisa Marangano, Tom Marshall, Donald O’Connor, Charles Perry, Gordon Stalans and Raquetta Dotley.
Not attending were Pierre Dabit, Matt McGauley, Darian Scott, Todd Gardenhire, and Robin Smith.
Also attending was Steve Brookes, Executive Director of the DCA.
S. Brookes opened the meeting by relating several stories as to how Ambassadors have sought to address issues of the homeless.
The Executive Committee minutes of July 14, 2021 and the DCA Board minutes of April 21, 2021, May 19, 2021, and June 16, 2021 were approved.
Old Business
1. There was a brief discussion of the future membership of the Executive Committee which will take office on 1/1/22. This issue will be revisited at the next board meeting.
K. Fitzgerald called for members interested in serving on a nominating committee for new board members to step forward.
New Business
1. A motion to amend the CBID bylaws section 6.2 to read that “The Board will meet on the third Wednesday of every other month” passed unanimously.
There is no change in the schedule of the Executive Committee which will continue to meet on the second Wednesday of each month.
Finance Committee Update
For the Finance Committee, G. Stalans reported that as of 30 June 2021 total revenue was approximately $792,000, total expenditures $464,000, net revenue $329,000.
Work on unpaid assessments continues, as does an audit by the Walls Group.
Executive Director Update
S. Brookes reported on the new website and asked for comments. A positive article on the Cash for Trash program has appeared in the News Free Press. Hanging baskets are to be installed, and a RFP for landscaping will be issued.
